As reported in yesterday's Society Alert, the SEC approved proposed universal proxy rules at an open meeting today on a 2 - 1 vote, with Commissioner Piwowar dissenting. The proposed rule, which includes amendments to the form of proxy and proxy statement disclosure requirements for voting options and voting standards in all (including uncontested) elections is here.
