In the recent past we have seen an increase in responsibilities for public, private and not-for-profit companies in the realm of compensation due to increased scrutiny and regulations.  Specifically, the legal professionals have seen a dramatic increase in workload, especially if you are counsel of a public company.  In this presentation Brent Longnecker and Chris Crawford of Longnecker & Associates will discuss all the issues that today’s legal professionals should be aware of, and what should they be preparing for.  Topics that will be discussed include:

  • The evolution of the CD&A disclosure and how it should be a collective effort.
  • Are your charters in compliance?
  • What role does the legal department play in compensation decisions and the relationship with the Board of Directors.
  • How to show the company’s compensation story in disclosures- Realizable Pay vs. Targeted Pay vs. Actual Pay.
  • Non-Equity Compensation – What is it and how do we disclose it?
  • What is the state of clawbacks?
  • How will the CEO pay-ratio affect your company and how to prepare for it.

By the end of the session, attendees should be able to answer the questions, Are we compliant with compensation? and Are we ready for tomorrow?

As the co-author of three books and technical contributor to five books on compensation, including the recently released, The Power of Restricted Stock, 3rd Edition, his reputation as an expert in the field of executive and board compensation has been recognized at a national level. In addition, Mr. Crawford has authored and been featured in over two hundred articles on executive and employee compensation. Cancellations: Since we must effectively manage our reservations and luncheon orders, please let us know by Friday, February 7th if your plans change and you need to cancel your reservation.  If you cancel before February 7th, you will still be billed for the luncheon, but we will credit you for a future luncheon.  No refunds will be made after you register and no credit for future luncheons will be given for no-shows or cancellations made on or after February 7th.

CLE: Application has been made to the Texas State Bar for one hour of CLE credit.
