Please make plans to join the Society of Corporate Secretaries & Governance Professionals and Longnecker & Associates as they present "Executive Compensation Issues”.
In the recent past we have seen an increase in responsibilities for public, private and not-for-profit companies in the realm of compensation due to increased scrutiny and regulations. Specifically, the legal professionals have seen a dramatic increase in workload, especially if you are counsel of a public company. In this presentation Brent Longnecker and Chris Crawford of Longnecker & Associates will discuss all the issues that today’s legal professionals should be aware of, and what should they be preparing for. Topics that will be discussed include:
- The evolution of the CD&A disclosure and how it should be a collective effort.
- Are your charters in compliance?
- What role does the legal department play in compensation decisions and the relationship with the Board of Directors.
- How to show the company’s compensation story in disclosures- Realizable Pay vs. Targeted Pay vs. Actual Pay.
- Non-Equity Compensation – What is it and how do we disclose it?
- What is the state of clawbacks?
- How will the CEO pay-ratio affect your company and how to prepare for it.
By the end of the session, attendees should be able to answer the questions, Are we compliant with compensation? and Are we ready for tomorrow?
