Proxy Disclosure Reform: Here's How

As was the case last year, Nasdaq's 2017 proxy statement - especially the user-friendly interactive version - is noteworthy for its fun, engaging and creative  presentation, inclusive of color, images, graphics and other subtle design features, as well as the core substantive content.

Particularly noteworthy given the intensified investor focus on board composition is the "Meet the Board" section, which provides easy access at a glance or via a deeper dive (at the reader's election) to the collective board and individual director attributes - including age, tenure, gender and other diversity, skills & qualifications, board committee memberships, and more.  Also specifically worth calling out are the investor-friendly "Annual Evaluation and 2017 Selection of Independent Auditors" discussion, annual "Stockholder Outreach" program graphic (creatively depicted by season), and list of "Acronyms and Certain Defined Terms."
