ISS Policy Survey: 72% of Investors Plan to Use Pay Ratio Disclosure Data

Yesterday, ISS released the results of its annual global benchmark voting policy survey (reported on here). The 602 total responses included 129 institutional investors and organizations that represent or provide them services, and 469 "non-investors" consisting of 382 issuers, 46 company consultants/advisors, 28 corporate directors, and 13 issuer service providers. 

Among the noteworthy takeaways:

Pay Ratio Disclosure:

- 72% of investor respondents indicated that they intend to either compare the ratios across companies/industry sectors (6%), assess year-on-year changes in the ratio at an individual company (3%) or use both of these methodologies (63%).

- Of the non-investors, 44% indicated that their organization is not planning to use the information. Another 41% indicated that they intend to either compare the ratios across companies/industry sectors (12%), assess year-on-year changes in the ratio at an individual company (8%) or use both of these methodologies (21%).

Virtual Meetings:

- 19% of investors indicated that their organization generally considers the practice of holding either virtual-only or hybrid meetings to be acceptable. Another 32% indicated that their organization generally considers the practice of holding hybrid meetings to be acceptable, and that they would also be comfortable with virtual-only meetings if they provided the same shareholder rights as a physical meeting.

- Among non-investors, 42% indicated that their organization generally considers virtual-only or hybrid meetings to be acceptable. Another 22% indicated that their organization generally considers the practice of holding hybrid meetings to be acceptable, and they would also be comfortable with virtual-only meetings if they provided the same shareholder rights as a physical meeting.
