Hunton & Williams' new memo: "Making the Switch: A Company’s Guide to Virtual-Only Shareholder Meetings" covers the gamut of considerations relevant to whether and how to go to a virtual-only annual meeting format - inclusive of regulatory issues, the company's specific corporate governance framework, utilization of third-party platforms to (among other things) ensure regulatory compliance, and meeting technology and format.  Alternative methods for handling the Shareholder Q&A portion of the meeting and presentation of shareholder proposals (if relevant) are identified and discussed in the relevant context of company and investor preferences, potential upsides/downsides, and actual meeting trends to date.

The memo also includes a convenient Key Issues recap checklist that companies may use to ensure thorough consideration of the wide range of relevant virtual-only meeting topics, and supporting data and other references throughout.
