Lead Directors Commonly Also Chair Key Board Committees

A recent member-requested Society Quick Survey on lead directors, which garnered nearly 200 issuer-member responses, revealed that more than 80% of companies have independent lead directors. Of those lead directors, 37% also chair the board's Nom/Gov Committee, and just over 38% don't chair any key or other board standing committee. Another approximately 12% serve as the Compensation Committee Chair, and fewer than 5% serve as the Audit Committee Chair. Executive Committee Chair was a common "Other" response.

Member-requested Quick Surveys are always conducted and reported out promptly after the survey closes in the weekly Society Alert on an anonymous basis.

These survey results, as well as the results of our Subsidiary Board Actions survey, were first reported in last week's Society Alert!  Access additional resources on our Board Leadership, Subsidiary Management and Board/Governance Practices topical pages.
