In this just-issued Alert, Morrison & Foerster recaps the requirements and risks associated with Delaware's new Certificate of Adoption of Transparency and Sustainability Standards, which we initially reported on here. While the firm believes the new scheme, albeit voluntary, to be a potential game-changer on corporate sustainability disclosure given the significant number and percentage of publicly-traded companies incorporated in Delaware, companies are reminded that inaccurate reporting may subject them to legal liability for perjury.
