Compensation Committee Evolves

Among the insights gleaned from this Farient summary: "Experts Discuss the Evolving and Expanding Demands on Compensation Committees" of a NACD-hosted compensation consultant discussion are those pertaining to the importance (and investor scrutiny) of corporate governance in conjunction with the executive compensation decision-making process, and board practices that may structurally support the governance/compensation interplay.

Among other things, panelists advised coordination between the Compensation Committee and Nom/Gov Committee - whether that be via joint meetings, periodic reporting, joint committees, cross-membership on the two committees, joint consideration of particular topics or otherwise.

Note that according to this recent Society Quick Survey on Joint Board Committee Meeting Practices (reported on here), joint meetings between the Nom/Gov and Compensation Committee are not common; however, more than 10% of the 180 respondents have joint meetings of these two committees at least annually, and four respondents reported having combined Compensation and Governance committees.
