Bradley's "Avoiding Risk when Serving as an Advisory Board Member" discusses the risks associated with advisory board directors who act outside the bounds of their advisory capacity and includes a list of suggested provisions for companies to include in an engagement letter to mitigate the risks, including avoidance of the term "advisory board" in favor of "advisory committee" or other appropriate terminology.
