Director Duties in an Evolving Stakeholder Governance Arena

Wachtell Lipton's "Stakeholder Governance—Some Legal Points" does a nice job of recounting and explaining the legal responsibilities of directors in the context of increasing ESG and multi-stakeholder-related expectations and pressures. The memo's reiteration of core director duties and its emphasis on the overarching objectives of long-term business success and increased value offer a framework that simplifies the challenges of balancing numerous and sometimes conflicting demands.
