Issuers: ISS Governance QualityScore Data Verification Open

ISS opened its annual Governance QualityScore Data Verification window on Monday in advance of its November 25th implementation of methodology changes to its corporate governance profiles. The Governance QualityScore Data Verification window will remain open until Friday, November 15th at 8pm ET. The window will reopen on November 25th. 

Methodology changes focus on the governance of sustainability issues and expanding coverage of compensation incentive plan disclosure. Highlights are here, and changes are summarized on pages 9 - 10 of the Methodology Guide.

In addition ISS released these additional future key dates:

  • November 18th – December 6th: Submit peers the company used for 2019 pay-setting through Governance Analytics to be used in the ISS peer selection process.  This is applicable for companies with annual meetings between February 1, 2020, and September 15, 2020.
  • Second Half of November: ISS releases policy updates for 2020.
  • November 25th: Updated Governance QualityScore data and scoring released to institutional investors, and QualityScore tools and alerts resume. 
  • First Half of December: The December Quarterly Data Download will be available, which some companies use for equity plan modelling. ISS Corporate Solutions (ICS) tools will also be updated to reflect ISS’ 2020 policy changes and ICS ExecComp clients will be able to begin modeling for the 2020 proxy season.
  • Second Half of December: Release of updated burn rate benchmarks and compensation FAQs
  • First Quarter 2020: Updated Projected ISS Peers will be available in Governance Analytics for ExecComp Subscribers to model Pay-for-Performance results for the 2020 season.
