SEC Provides Conditional Coronavirus Filing Relief

As reported in the weekly Society Alert, the SEC issued an Order today providing conditional filing relief for companies that are affected by the coronavirus that allows them an additional 45 days from the original due date to file their Exchange Act reports (enumerated in the Order) that are otherwise due between March 1 and April 30. Among other conditions, companies must be unable to meet their filing deadline due to coronavirus-related circumstances and must furnish on Form 8-K or Form 6-K by the later of March 1 or the original filing deadline a summary of why the relief is needed in their particular circumstances and their estimated filing date. The SEC's release also includes a reminder from Chair Clayton to provide investors with appropriate coronavirus risk-related disclosure, as we previously reported on here.
