Hot off the press! A new Delaware Executive Order facilitates companies' notice of a change from a physical location to a virtual-only meeting by allowing notification to stockholders via an SEC filing and press release, as detailed in Section 4 "Remote Meetings of Stockholders." As previously reported, in mid-March, the SEC staff issued guidance to help companies that are changing or contemplating changing their annual shareholder meeting date, location or format (to virtual-only or hybrid from in-person-only) to do so without incurring additional proxy mailing expenses, subject to applicable state laws and the company's organizational documents.
