The Conference Board (collaborating with Esgauge) released a robust complimentary online dashboard (click on "Continue Reading" and then "Access the dashboard at: Click here") of Russell 3000 and S&P 500 director pay practices based on 2019 disclosures that allows for easy benchmarking across numerous aspects of pay structure and design including individual elements of compensation packages (e.g., cash retainers, meeting fees, stock awards, cash/equity mix), perks, supplemental compensation for committee service and leadership roles, stock ownership and retention policies, pay limits, and deferred compensation schemes. Benchmarking information can be further filtered by index subgroup, business sector, and company size.
The dashboard is accompanied by this report: "Director Compensation Practices," which summarizes key practices including the prevalence of one-time equity awards, director education reimbursements / payments, charitable contribution matches and more. The report also suggests relevant recent developments and trends that boards should consider and factor into their director pay programs going forward.
