“Board composition: The road to strategic refreshment and succession” from Spencer Stuart and PwC proposes a sound approach and process to board refreshment and succession that takes into account an increasingly challenging competitive and global business environment; a rapidly evolving macro environment; and numerous - often conflicting - expectations and demands expressed by investors and other stakeholders relating to board composition, diversity, and tenure. The suggested approach relies on boards being proactive about succession planning along multiple dimensions including baking this topic into the Nom/Gov Committee’s regular agenda and other committee/board processes in lieu of reactive refreshment.
