Board ESG Oversight Guidance

In Sidley Austin’s “Oversight of EESG Disclosure,” Holly Gregory offers practical guidance to boards on how to oversee employee, environmental, social, and governance (EESG) issues and associated disclosure. Suggestions include regularly including EESG on the board agenda in connection with discussion about corporate strategy and risk and delegating discrete aspects of EESG to one or more board committees. As respects the latter, Gregory indicates that it is becoming increasingly common for boards to allocate general EESG oversight, including oversight of EESG engagement and disclosure, to the Nominating & Governance Committee; human capital management oversight to the Compensation Committee; and EESG risk oversight and monitoring of EESG compliance and internal controls to the Audit Committee.
