March 2023 Changes to GICS Structure: ISS Burn Rate Thresholds

ISS posted a set of FAQs addressing the implications of the planned March 2023 changes to the GICS structure (which we reported on here) on its equity plan scorecard burn rate (Value-Adjusted Burn Rate (page 9) or “VABR”) thresholds. ISS plans to establish new burn rate thresholds for companies impacted by the GICS changes. The changes will be published in June 2023 and effective for shareholder meetings on or after September 1, 2023. The Appendix includes preliminary or tentative benchmarks that are not expected to “differ significantly” from the final benchmarks for informational purposes only at this point.
