Cooley’s “ESG Ratings: Considerations in Advance of Proxy Season” addresses the kinds of factors companies should consider before they pursue ESG rating improvement activities (whether prompted by concerns about how ratings may bear on their investors’ proxy voting activity or otherwise) to ensure that such efforts are worthwhile. With reference to the proxy season specifically, the memo identifies and describes the ESG ratings that accompany ISS’s and Glass Lewis’s proxy recommendations, the relationship of such ratings to the proxy advisors’ voting recommendations, and the potential practical implications of these ratings.
