Board composition—age, gender diversity, independence, and tenure
Board leadership structure—separate chair/CEO, independent chair, independent lead director, and presiding director
- Board elections—annual elections, majority voting in director elections, and proxy access
- Board & executive compensation—independent directors, CEO 3-year average pay, NEO 3-year average pay, and average CEO/NEO pay ratio
- Opposition votes in director elections (S&P 1500)
- Say-on-pay proposal opposition / support
