Form 10-Q Guidance

In addition to highlighting trending risk factor topics, Gibson Dunn’s "Form 10-Q Updates and Reminders” summarizes and provides narrative and tabular disclosure examples to comply with the new Rule 10b5-1 disclosure requirements, and provides guidance on interpretive issues that companies may encounter in implementing the new requirements and that have not yet been addressed by SEC staff.

Goodwin’sForm 10-Q Risk Factor Updates: Better Practices for Companies that Restate Risk Factors” recommends companies that restate their Form 10-K risk factors in their Form 10-Qs call out material new and revised Form 10-Q risk factor disclosure and suggests three alternative ways to achieve this aim.

Editor’s note: According to Wilson Sonsini’s “Snapshot: Risk Factor Trends—Part 2” (reported on here under “Risk Factor Disclousre Trends”), based on a sampling of 30 companies across sizes (based on annual sales) and public company maturity levels, highlighting material changes to risk factors in the Form 10-Q from the Form 10-K is not a common practice among Silicon Valley’s largest 150 companies.
