Although aimed at companies subject to the UK Corporate Governance Code, a series of resources recently released by The Chartered Governance Institute UK & Ireland provides good guidance to all companies seeking to engage an independent board facilitator, as well as board evaluation service providers.

• The “Code of Practice for board reviewers” provides guidance to facilitators on qualifications, process, documentation, and engagement in client disclosure.
• The “Principles of Good Practice for listed companies using external board reviewers” provides guidance to companies on engaging an evaluator, scoping the engagement, and disclosure of the outcome of a performance review.
• The “Reporting on board performance reviews: Guidance for listed companies” provides guidance to companies on how to disclose the undertaking of an evaluation in a manner that is compliant with the UK Corporate Governance Code, but that also protects sensitive information the company may choose not to disclose.

All of the guidance is voluntary.
