SEC Should Revisit Perk Guidance Vis-à-Vis Executive Security

Cooley’s “Should SEC Revisit Executive Security Perquisite Disclosure?” articulates the view widely shared by companies as to the business necessity of executive security, which is contrary to the SEC’s unwavering characterization of executive security as a disclosable perk, but aligned with the notion of job necessity as relates to the “integrally and directly related to the performance of an executive’s duties” standard (53177). The timely alert encourages a reevaluation by the SEC of its position on this issue.
