Further to our prior report (“Society Shares Priorities with New SEC Chair”), last week, the Society submitted a letter and accompanying Appendix to SEC Chair Atkins providing input on the Commission’s filer categories and thresholds and scaled disclosure requirements across filing categories that would benefit small- and mid-cap public companies (as well as, in certain circumstances, other issuers) and their stockholders. The letter was informed by a working group of Society members led by the expertise and seemingly tireless efforts of Julia Lapitskaya (Gibson Dunn), Maia Gez (White & Case), Securities Law Committee Chair Ning Chiu (Davis Polk), and Shawn Filippi (Small & Mid-Cap Companies Community Chair).
