"Director Assessments Are Lacking" from Directors & Boards homes in on the importance and relative dearth of individual director (as opposed to full board or board committee) evaluations. The article - which urges boards to develop or bolster their individual director assessments as part of their overall annual board evaluation process - suggests boards: (i) design a process that combines in-person interviews, electronic surveys, and best practice benchmarking; (ii) debrief and allow each director to understand and react to variances between actual practices and common and best practices; and (iii) designate a board leader or other qualified individual such as the GC or a third-party facilitator to conduct one-on-one meetings with each director about their performance.
