Private Companies: Benchmarking Director Pay & Governance Practices

"Private Company Board Compensation and Governance" from Compensation Advisory Partners reveals otherwise difficult to find benchmarking data on director pay and select governance practices based on a recent survey of more than 600 demographically diverse private companies.

Key pay prevalence findings are summarized here:

Noteworthy governance results include: 

  • Board diversity is at least "somewhat important" to nearly 65% of respondents.
  • Key committees mirroring the public company model are common: Nearly 85% of companies have compensation committees; nearly 80% have audit/finance committees; and more than 55% have nominating/governance committees. More often than not, such committees are led by an independent director.

The report reveals median retainer and meeting fee values by company revenue, as well as median, minimum and maximum cash compensation values by board and committee roles, and more.
