SEC Proposes to Modernize Compensatory Securities Offerings Framework

As contemplated by the SEC's most recently published regulatory agenda, today, the SEC proposed for public comment: (i) amendments to Securities Act Rule 701, which provides an exemption from registration for the issuance of compensatory securities by non-reporting issuers, and Form S-8, the Securities Act registration statement for compensatory offerings by reporting issuers, and (ii) temporary rules to allow issuers to provide - subject to certain conditions - equity compensation to certain gig workers.
