Glass Lewis Guidance Informs Proxy Pay Disclosure

Glass Lewis's "Approach to Executive Compensation in the Context of the COVID-19 Pandemic" explains how it will apply its executive compensation policies to pay plan changes and outcomes that have - for many companies - been impacted by COVID-19. The illustrative guidance provides examples of mitigating and exacerbating circumstances to pay-for-performance disconnects and Glass Lewis's perspective on various pay scenarios in the context of say-on-pay and other compensation-related proposals. In many cases, provided the company's pay decisions are well supported in fact, the guidance should help inform the substance of companies' disclosures to increase the likelihood of a favorable vote recommendation.
