The SEC published its Spring 2022 Reg-Flex Agenda. Most notably, and in comparison to the Fall 2021 agenda (where relevant):

• Issuance of a proposed rule on human capital management disclosure was pushed back from December 2021 to October 2022
• Issuance of a proposed rule on corporate board diversity disclosure was pushed back from April 2022 to April 2023
• Proposed amendments to Rule 14a-8 are expected October 2022 (pushed back from April 2022 in the Fall 2021 agenda)
• Adoption of final rule on climate change disclosure is tagged with an October 2022 time frame, notwithstanding the proposed rule’s release in March 2022 rather than December 2021 as contemplated by the Fall 2021 agenda (Society comment letter here)
• A final action on proxy voting advice (i.e., proxy advisors) is expected October 2022 (Society comment letter here)
• Adoption of a final rule on cybersecurity risk governance and disclosure (proposed rule issued March 2022) is anticipated April 2023 (Society comment letter here)
• Adoption of a final rule on Pay Versus Performance (comment period reopened February 2022) is anticipated October 2022 (Society comment letter here)
• Adoption of a final rule on compensation clawbacks (comment period reopened October 2021 and May 2022) is anticipated October 2022 (Society comment letter here)
• Adoption of a final rule on share repurchase disclosure is anticipated October 2022 (Society comment letter here)
• Adoption of a final rule on Rule 10b5-1 and insider trading is slated for April 2023 (Society comment letter here)
