This Future of the American Board report: “Nominating and Governance Committee Blueprint” from the NACD and Korn Ferry offers suggestions and recommendations to Nom/Gov Committees to support five increasingly scrutinized areas of oversight responsibility based on input from a dozen well-known companies’ Nom/Gov Committee chairs and members (group members listed on page 24).
Five themes:
- Setting board culture and expectations for directors (including renomination practices)
- Aligning board composition with corporate strategy (succession and refreshment)
- Fostering continuous improvement in board performance (onboarding, education, evaluation)
- Improving oversight of cross-board matters that often fall to the nominating and governance committee (CEO succession, sustainability, new committees)
- Overseeing board involvement with shareholders and other key stakeholders (including employees)
