Responding to Stockholder Books & Records Requests

In “Section 220 Books and Records Requests: Keeping Up with Case Law Trends and Optimizing Response Strategies,” Woodruff Sawyer leverages the recently decided Simeone v. The Walt Disney Company case (we reported on here) to provide a brief tutorial on the DGCL’s § 220 Inspection of books and records provision and discuss the bases for recent Delaware Chancery Court decisions rejecting and supporting stockholders’ books & records requests. The memo reiterates the importance of good recordkeeping practices that include (among other considerations) a sound minute drafting and review process and consistency between the minutes and other materials.
