Glass Lewis released today its 2025 Benchmark Policy Guidelines and updated policy guidelines on Shareholder Proposals & ESG-Related Issues. Changes to the benchmark policy guidelines (which—together with clarifying changes—are summarized on pages 7-8) cover board AI oversight and unvested awards in change in control scenarios, while clarifications address board responsiveness to shareholder proposals, reincorporation, and Glass Lewis’s approach to executive compensation programs. Glass Lewis’s approach to AI-related shareholder proposals is now also addressed in the shareholder proposal policy guidelines.
