Responsive to a question that arises fairly frequently among Society members on the “how” of emergency CEO succession planning, Wachtell Lipton’s “A Playbook for Unplanned CEO Transitions” is a great resource for identifying key components of a well-considered and well-vetted playbook that can be tailored and pulled off the virtual shelf if/when needed to support the effective management of an unexpected crisis involving the CEO. In addition to identifying probable key players in responding to the crisis, the article suggests a number of documents and draft releases, filings, and other materials that can be prepared in advance, and includes helpful reminders on the avoidance of selective disclosures.
