ISS launched its annual benchmark policy survey (pdf forthcoming) today to help inform its 2026 proxy season benchmark voting policies. US-specific and global (including US) environmental and social questions encompass multi-class share structures, shareholder proposals, independent board chair proposals, written consent, non-executive director and CEO overboarding, non-executive director pay, executive compensation, say-on-pay responsiveness, modification of ESG/DEI metrics for in-flight awards, AI governance frameworks, and board and workforce diversity.
The survey is open through August 22 at 5 pm ET. Member input/feedback is critical. Members interested in contributing to the Society’s comment letter in response to the survey, which will be led by the Society’s Corporate Practices Committee, please contact Randi Morrison.
