Data Reflects Sensitivity to Director Over-Commitments

In addition to director independence and diversity statistics, trends, and insights, Glass Lewis’s report: “Analyzing Board Composition in the US: What the Latest Data Says on Director Independence, Commitments and Diversity" shows an ongoing decline in the percentage of directors serving on more than two boards, with the vast majority serving on just one board, as has been the case historically.

According to the report, a significant 75% of the Russell 3000 have implemented a director commitment policy as of the 2025 proxy season.

Director and board chair independence increased slightly year-over-year, while gender diversity among newly appointed directors and director racial/ethnic diversity disclosure declined.
