Nom/Gov Committee Primer

By Randi Morrison posted yesterday

PwC’s “Serving on and chairing the nominating/governance committee” offers practical guidance on the nominating/governance committee’s evolving role at the center of board composition, oversight structure, and corporate accountability, in the context of increasing regulatory complexity, investor scrutiny, and evolving oversight expectations.

The resource addresses committee composition and operations; key ongoing responsibilities such as board effectiveness, composition, and succession planning; and considerations for agenda setting and coordination with management and other committees. It also highlights select governance and disclosure responsibilities, including board leadership structure, director independence, and annual meeting oversight.

The guide incorporates benchmarking insights and survey data, and includes a comparison of NYSE and Nasdaq governance requirements, as well as a sample board skills matrix.

Access additional resources on our Nominating/Governance Committees page.
