SOX Sub-Certification Practices & Considerations

Further to our recent report, the Society and EY released a new report: “Optimizing Your Sub-Certification Process for Resilience and Disruption” (EY webpage here) based on the Society's recent benchmarking survey of public company SOX sub-certification practices. While the survey results provided a snapshot of current market practices, the report offers additional analysis and context, including observations by market cap and industry, EY insights on emerging and leading practices, and practical recommendations for evaluating and enhancing sub-certification processes.

Among other topics, the report discusses administration of sub-certification programs, questionnaire design and refresh practices, integration with disclosure committee and audit committee processes, onboarding and education of sub-certifiers, and approaches to issue escalation and governance. It also highlights practical considerations for organizations seeking to strengthen disclosure controls, improve cross-functional coordination, and adapt their processes to evolving disclosure risks.
