Society Recommends Flexible Approach to SEC Semiannual Reporting Proposal

On July 6, the Society submitted this comment letter on the SEC's proposed optional semiannual reporting framework, supporting greater flexibility for companies while preserving investor protection. The Society recommends that any semiannual reporting option remain voluntary and available to all domestic reporting companies currently required to file Form 10-Q and that the SEC preserve the current voluntary and "furnished" status of earnings releases. The Society also urges the SEC to develop a streamlined interim reporting framework focused on material, decision-useful information. As noted in the letter, based on Society survey results, many companies would derive greater benefit from modernizing Form 10-Q /Form 10-S requirements than from semiannual reporting alone, making both flexibility and streamlined disclosure important components of any reform.
