Proxy advisory firms provide their clients (generally, large institutional investors, small investment advisors, and hedge funds), with advice relative to voting issues in their portfolio companies' proxy statements. In addition, some clients provide the proxy advisory firm with the authority to vote their shares. Proxy advisory firms currently are largely unregulated, and may also offer consulting services to the companies for which they issue advisory reports.
