Over-the-Counter Market (OTC)

Over-the-counter, or OTC, stocks are sold through dealers rather than through exchanges.  Any transactions not made on an organized stock exchange take place over-the-counter. The OTC differs from the NYSE in that it is primarily a negotiation rather than an auction market. Also known as the "unlisted market" or "off-board market," it is not located in any one spot, but consists of a large number of dealers and brokers throughout the country who trade securities among themselves and with the public.
