Corporate governance guidelines (also sometimes referred to as "standards" or "principles") are adopted by the board of directors and articulate the general principles by which the company is governed. NYSE-listed companies are required to adopt and disclose corporate governance guidelines that address certain topics set forth in the exchange's corporate governance standards. The Nasdaq does not require listed companies to adopt corporate governance guidelines, but many voluntarily do so and also disclose their guidelines as a good governance practice.
