Also referred to as classified board of directors, a structure that divides the board of directors of a company into two or more classes, only one of which is elected each year (thereby staggering the board's directorships).  For example, a typical staggered board could have nine directors grouped into three classes, each with three year terms and each class elected in each of three successive years.
