For companies that are not Smaller Reporting Companies under the SEC's filer categorization scheme, Named Executive Officers, often referred to as NEOs, generally consist of the principal executive officer, principal financial officer and the next three most highly compensated executive officers of a company as of the end of the most recently completed fiscal year based on total compensation as determined under Rule 402 of Regulation S-K. For Smaller Reporting Companies, the NEOs generally consist of the principal executive officer and the company's next two most highly compensated executive officers as of the end of the most recently completed fiscal year as determined in accordance with Rule 402.
