It is not uncommon for third parties to request a signed certificate from the corporate secretary ("secretary's certificate") evidencing that certain actions were taken or authorized by the board of directors. In almost all instances, the best evidence of this action is the resolution adopted by the board. The certificate generally states that the resolution in or attached to the certificate is a true, correct and complete excerpt from the minutes of a meeting of the board of directors of the corporation duly convened and held on the date specified at which a quorum was present and acting throughout the meeting.
