An individual chosen by the company and appointed by the board to oversee the accuracy and validity of votes at an annual or a special shareholders meeting. Some state statutes make provision for the appointment of inspectors of election, and some (such as Delaware law) require it. Otherwise, the appointment of inspectors of election may be addressed in the company's articles or bylaws.
