Corporate minutes serve as the permanent, official record of the business transacted and action taken at meetings of the board of directors, board committees, and shareholders. The Model Business Corporation Act provides that: "A corporation shall keep as permanent records minutes of all meetings of its shareholders and board of directors..." and "A corporation shall maintain its records in written form or in another form capable of conversion into written form within a reasonable time." In addition, many state statutes require, directly, or indirectly, that minutes be kept.
