Please join us on Thursday, September 17, from 4:30 to 6:30 PM (Central), for a complimentary Watch & Discuss Event, hosted in person by Faegre Drinker Biddle & Reath LLP on behalf of the Twin Cities Chapter of the Society for Corporate Governance.
Together, we’ll view and discuss the panel discussion “Shareholder Engagement: State of Play,” organized for a second year by the Society for Corporate Governance National Office and Kirkland & Ellis LLP.
We will be tuning in from Faegre’s offices here in Minneapolis to a panel featuring perspectives from the issuer, institutional investor, and shareholder engagement and activist advisory firm communities in a lively discussion on recent developments in shareholder engagement – and what lies ahead.
Discussion topics include:
- Current shareholder engagement landscape: how shareholder engagement has evolved 18 months after the SEC's guidance on Schedule 13D/G
- The future of index fund stewardship: the impact of evolving stewardship models and voting choice (pass-through voting) on shareholder engagement and voting outcomes.
- Regulatory and market developments: the evolving landscape for proxy advisors, the future Rule 14a-8, mirror voting, "DExit" (Delaware Exit), and the role of AI in shareholder engagement.
- Preparing for the 2027 proxy season: steps companies are taking--or should consider taking--to prepare for the upcoming proxy season. _______________________________________________________________________
Following the panel discussion, we’ll enjoy a casual happy hour and small group conversations to reflect on key takeaways. This is a great opportunity to connect in person with your peers, exchange perspectives, and continue the dialogue on this timely and important topic. We hope you can join us for an engaging and informative program!
