Please join the Fairfield-Westchester Chapter for a breakfast program in Stamford, CT that will explore the latest trends in anti-corruption legislation including the Foreign Corrupt Practices Act and continued US government enforcement efforts. The program also will compare and contrast the FCPA with the U.K. Bribery Act of 2010, which has been referred to as "the FCPA on steroids," and address enforcement trends and potential pitfalls.

PANEL BIOS:
N. ADELE HOGAN
Adele Hogan is a corporate and securities lawyer at Cadwalader, Wickersham & Taft LLP. Her practice focuses on securities transactions and M&A transactions, restructurings and bankruptcies, and general corporate matters.
In the securities area, Adele has worked for underwriters and issuers in a wide array of industries on offerings of diverse types of securities, medium-term note programs, 144A offerings, debt tenders, and consent solicitations. She regularly advises on SEC reporting, disclosure and corporate governance issues.
Throughout her career, Adele has worked on more than 200 offerings totaling over $250 billion. Her work in the restructuring area, involves diverse industries, including airlines, automotive, energy and utilities, financial institutions, gaming, hotels and leisure, real estate, and retail. In the M&A area, she has experience with public company tender offers, going-private transactions, spin-offs and private equity deals.
Adele recently served as Chair of the Securities Regulation Committee and Chair of the Financial Reporting Committee of the New York City Bar. In addition, she has served on the Executive Committee of the Business Law Section of the New York State Bar and is a member of the Federal Securities Law Committee of the American Bar Association, the Society for Corporate Secretaries & Governance Professionals, and the American Bankruptcy Institute. She is currently a member of the M&A Committee of the New York City Bar.
Adele has been ranked for the past five consecutive years as a leading lawyer in the area of capital markets by Chambers USA: America's Leading Lawyers for Business. She is a frequent speaker on securities regulation issues at programs sponsored by Practicing Law Institute, Bloomberg, KPMG, PricewaterhouseCoopers and the New York City Bar Center for CLE. She has also served as an Adjunct Law Professor at Fordham University School of Law.
Adele received her J.D. from Cornell University Law School and her B.A. from Cornell University, where she was also a College Scholar. She is admitted to practice in the State of New York and the U.S. Supreme Court.
MARIANNE FOGARTY
Marianne Fogarty serves as the Business Ethics and Anti-Corruption Officer for MasterCard Worldwide. Ms. Fogarty is a member of MasterCard's Global Compliance and Forensics group, which is responsible for helping the Company manage and meet its ethical and legal commitments, including compliance with U.S. and international laws governing corruption.
Ms. Fogarty is responsible for day-to-day management of MasterCard's regional compliance program, the Code of Conduct and global ethics awareness and training, as well as MasterCard's global anti-corruption program. Ms. Fogarty also manages and conducts internal investigations of employee fraud and misconduct related to violations of the law, financial regulations and Company policies.
Ms. Fogarty joined MasterCard in 2008.Prior to joining MasterCard, she spent 16 years at major law firms involved in complex commercial litigation and arbitration, government and internal investigations, FCPA and anti-money laundering due diligence and program development, corporate criminal defense and representation of clients in a variety of legal and regulatory matters. Prior to entering private practice, Ms. Fogarty clerked for the Hon. Thomas J. Meskill, United States Court of Appeals for the Second Circuit.
Ms. Fogarty graduated from Fordham Law School in 1990 and is admitted to practice law in the state of New York SDNY, EDNY, and the U.S. Supreme Court. She received a Bachelor of Science from the Wharton School of the University of Pennsylvania in 1985.
CHRISTOPHER GEORGIOU
Mr. Georgiou is a partner in the New York Forensic & Dispute Services practice of Deloitte Financial Advisory Services LLP ("Deloitte FAS") and is the Northeast Regional Leader for Deloitte FAS' Foreign Corrupt Practices Act ("FCPA") Investigative & Consulting Services practice. He has more than 22 years of experience working in the Deloitte U.S. Entities and in the global Deloitte Touche Tohmatsu network of member firms. He has led a number of FCPA investigations, FCPA internal assessments and FCPA due diligence projects for clients in a variety of industries. He has worked extensively in the Russia and the CIS and as well as leading projects in China, India, Brazil, and in Europe. In addition to extensive experience in delivering FCPA services, he has also led a number of accounting investigations and provided accounting related support services in both domestic and international arbitrations and litigation. Prior to joining Deloitte FAS in 2004, he spent 15 years with Deloitte & Touche LLP as an audit professional and partner, serving clients in the manufacturing, technology, life sciences and pharmaceutical, automotive and consumer business industries. From 2001 to 2004, he was based in Budapest and served as the audit partner for a number of significant subsidiaries of both US and Non-US companies based in Hungary.
CHRISTOPHER J. SCHUYLER
Chris Schuyler is a member of the Commercial Litigation Department of White and Williams LLP where he focuses on director and officer insurance coverage issues, insurance regulation and corporate matters for insurance clients.
After initial training in banking, project finance and general corporate law at Mudge Rose Guthrie Alexander & Ferdon LLP, Chris worked in-house for several years at Pfizer Inc. in a general counseling capacity. Chris returned to private practice in 2000 and focused on specialized in securitization, structured finance and other financial product transactions at Dewey Ballantine LLP and Schulte Roth & Zabel LLP in New York and Cadwalader, Wickersham & Taft LLP in London.
Chris earned a B.A. at the University of New Hampshire, an M.I.A at Columbia University's School of International and Public Affairs, a J.D. at the University of Virginia School of Law and an M.B.A. at London Business School. He also holds certificates from the FINRA at Wharton Certified Regulatory and Compliance Professional program and New York University's Ethics and Corporate Governance program.
