In-House Attorney Privilege and Related Issues


Please join us for a special joint chapter program that will address practical issues related to attorney client privilege and related matters. Although these issues have been widely discussed with regard to outside counsel's representation of corporate clients, less attention has been given to the important issue of attorney client privilege in the context of in-house representation, which will be the focus of this panel discussion.

In addition to hosting our program, Cravath, Swaine & Moore LLP will also provide the following panel participants: Julie A. North, a partner in the Litigation Department at Cravath; and John W. White, a partner in Cravath's Corporate Department, the co-head of the firm's Corporate Governance and Board Advisory practice and a former director (2006-2009) of the Division of Corporation Finance at the SEC.

Topics will include:
  • Which in-house legal communications are protected by attorney-client privilege and what steps counsel can take to increase the likelihood of such protection
  • Privilege and waiver issues related to requests from your company's outside auditor and from regulators such as the SEC to provide information about litigation matters disclosed as contingencies in periodic reports
  • What documents should be considered "attorney work product"
  • Practical advice on boilerplate legal disclaimers included in email signatory blocks by many in-house attorneys
