In "Top 10 Expectations for Shareholder Proposals in the 2020 Proxy Season," Morrison & Foerster shares shareholder proposal-related expectations for the upcoming proxy season - many of which are rooted in the no-action process itself or specific Rule 14a-8 exclusions - based largely on SLB No. 14K and other relevant SLBs, staff communications during the 2018-19 proxy season, and the staff's changes in the no-action process announced in September 2019. The list serves as an effective recap of the key takeaways from staff's publications and commentary to date, which should inform companies' approaches to reviewing, analyzing and responding to proposals, and assist companies in most effectively utilizing their (and the board's) time and resources going forward.
