ISS Announces New Expanded Data Verification Portal for 2022 Season

ISS announced its January 10 launch of a new data verification (DV) portal for US companies that will be used for the 2022 proxy season. The new portal, accessed through Governance Analytics, will reportedly encompass more than 400 governance and compensation data points, including:

  • Stock plan data previously available for verification through the Equity Plan Data Verification platform, which has been eliminated
  • Individual director details such as name, gender, ethnicity, etc. (as disclosed)
  • Board and committee characteristics to include committee names, memberships, etc.
  • Individual executive pay figures including salary and bonus from the summary compensation table and grant details, equity plan details, gross-ups, etc.

According to the release, companies registered on the Governance Analytics platform will receive an e-mail notification when their 48-hour data verification window opens between the filing of their proxy statement and before ISS publishes its proxy recommendations. Companies that have not registered on the Governance Analytics platform are invited to message the ICS support team here for platform access, which is complimentary.

The ISS Governance QualityScore and E&S QualityScore data verification platforms are not impacted by this development.
